1. Information that you provide to us

You may provide information about yourself when you visit the Site or submit an inquiry. Our Privacy Policy explains our practices with respect to that information. We may send you email to verify details, respond to your request, or provide important information. By submitting your contact details, you authorize us to send those messages for those purposes.

2. Intellectual property

As between you and Synic, Synic and its licensors exclusively own all rights, title, and interest in the patents, copyrights (including rights in derivative works), moral rights, rights of publicity, trademarks or service marks, logos and designs, trade secrets, and other intellectual property embodied by or contained in the Site (collectively, “Site IP”). Site IP is protected by applicable intellectual property laws. All rights in Site IP not expressly granted to you in these Terms of Use are reserved.

5channel and related marks are used in connection with data services operated under authority of the source system. Nothing on the Site grants you a license to scrape, republish, or commercially exploit 5channel content outside a separately executed data license.

You may choose to, or we may invite you to, submit comments or ideas about improvements to the Site or our products or services (“Ideas”). If you submit an Idea, we will presume that your submission was voluntary, unsolicited, and delivered without restrictions on our use of the Idea. You agree that Synic has no fiduciary or other obligation to you in connection with any Idea, and that we may use Ideas without attribution or compensation to you.

3. Access to the Site

Synic grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, informational, and inquiry purposes. This license does not include a right to copy Site content for commercial reuse, reverse engineer the Site, attempt unauthorized access, or use automated means to scrape or overload the Site.

Your permissions under these Terms of Use terminate automatically upon any unauthorized use.

4. Content, descriptions, and services

Details of data offerings, technical schemas, sample availability, and licensing concepts described on the Site are for general information. All features, content, specifications, and descriptions are subject to change at any time without notice. Descriptions on the Site do not constitute a binding offer, inventory commitment, or warranty that any particular corpus segment, delivery format, or commercial term will be available.

Any dataset sample, technical documentation, or commercial license is provided only under terms agreed between Synic and the receiving organization.

5. Acceptable use

You may not use the Site in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the United States Office of Foreign Assets Control (OFAC), where such use would be unlawful.

You represent that information you submit is accurate to the best of your knowledge and that you will use any materials we provide only in a lawful manner and in accordance with any accompanying license or evaluation terms.

6. No warranties

We provide the Site and Site IP "as is" and "as available", without any express, implied, or statutory warranties of title, merchantability, fitness for a particular purpose, noninfringement, or any other type of condition, warranty, or guarantee. No data, documentation, or other information provided by Synic or obtained by you from or through the Site creates or implies any warranty from Synic to you beyond what is stated in a separately executed written agreement.

Synic does not guarantee: (a) the accuracy, reliability, or completeness of any information on the Site; (b) that the Site will meet your specific needs; (c) that the Site will be available at any particular time or location, or will function uninterrupted or secure; (d) that Synic will correct any defects or errors; or (e) that the Site is free of viruses or other harmful code. Use of materials you access or download through the Site is at your own risk.

Nothing in these Terms of Use excludes, restricts, or modifies any non-waivable right or remedy under applicable law.

7. Limitation of liability

Under no circumstances will Synic be responsible or liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages resulting from your use or inability to use the Site, or for the unavailability of the Site, or for lost profits, personal injury, or property damage, or for any other damages arising out of, in connection with, or relating to these Terms of Use or your use of the Site, even if such damages are foreseeable, and whether or not you or Synic has been advised of the possibility of such damages.

Synic is not liable for damages arising from hacking, tampering, or other unauthorized access or use of the Site, or from your failure to implement appropriate security measures. Synic further denies responsibility for liability and damages caused by: (a) access or use of the Site inconsistent with our instructions; (b) unauthorized access of servers, infrastructure, or data used in connection with the Site; (c) bugs, viruses, or other harmful code transmitted to or through the Site; (d) errors, inaccuracies, omissions, or losses in data provided to us; or (e) the defamatory, offensive, or illegal conduct of others.

You agree to limit any additional liability not disclaimed by Synic in relation to the Site and Site IP to your direct and documented damages; and you further agree that under no circumstances will any such liability exceed in the aggregate the greater of the amounts paid by you to Synic during the three-month period immediately preceding the event that gave rise to your claim, and USD $20, except where a separate written license agreement provides different terms for licensed data or services.

These limitations apply regardless of the legal theory on which your claim is based, including contract, tort (including negligence), strict liability, or any other theory, to the maximum extent permitted by law.

8. Disputes

In the event of a dispute, claim, or controversy arising out of or relating to statutory or common law claims, the breach, termination, enforcement, interpretation, or validity of any provision of these Terms of Use—but specifically excluding any dispute principally related to either party’s intellectual property (which will be resolved in litigation before the United States District Court for the Southern District of Texas)—will be determined by arbitration in Texas before a single arbitrator. The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator will apply the substantive law of the State of Texas, exclusive of its conflict or choice of law rules. The Federal Arbitration Act (9 U.S.C. §§ 1–16) will govern any arbitration conducted pursuant to these Terms of Use.

To the fullest extent permitted by law, any dispute arising out of or in connection with these Terms of Use, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated, or representative action. If a claim proceeds in court rather than through arbitration, each party knowingly and irrevocably waives any right to trial by jury to the extent permitted by law.

Any award may be confirmed in or enforced by a state or federal court located in Corpus Christi, Texas.

9. Applicable law

By using the Site, you agree that the laws of the State of Texas, USA, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and Synic concerning the Site, subject to any different governing law stated in a separately executed data license or commercial agreement.

10. Modification and severability

We may change or add to these Terms of Use at any time, solely with prospective effect, and may change, delete, discontinue, or impose conditions on use of the Site by posting such changes on the Site. The “Last updated” date at the top of this page indicates the current version. If any provision of these Terms of Use is held invalid or unenforceable, it will be enforced to the minimum extent required by law and the remaining provisions will remain in effect.
